1. Acceptance of Terms

By accessing or using MagniSpore (the "Service"), provided by Magni Consulting LLC and its affiliates ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Service.

2. Description of Service

MagniSpore is a mushroom cultivation tracking and educational platform. The Service provides tools for tracking grows, accessing strain information, and educational content about mushroom cultivation. The Service is provided "as is" for informational and educational purposes only.

4. User Responsibilities

By using the Service, you agree to:

• Comply with all applicable federal, state, and local laws and regulations
• Use the Service only for lawful purposes
• Not cultivate, possess, or use any controlled substances
• Verify the legality of any mushroom species in your jurisdiction before cultivation
• Exercise proper safety precautions in all cultivation activities
• Not rely solely on the Service for identification, medical, or business decisions
• Accept full responsibility for your actions and use of the Service

5. Legal Compliance

YOU ARE SOLELY RESPONSIBLE for understanding and complying with laws in your jurisdiction regarding:

• Mushroom cultivation and possession
• Controlled substances
• Food safety and sales
• Agricultural activities
• Business licensing and permits

The Company assumes no responsibility for your legal compliance. Laws vary by location and are subject to change.

6. User Accounts and Content

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You grant us a license to use, display, and store content you upload to the Service.

You agree not to:

• Share illegal content or content promoting illegal activities
• Violate intellectual property rights
• Harass, threaten, or impersonate others
• Interfere with the Service's operation
• Attempt unauthorized access to the Service

6.1 Content Contribution License

The Service offers an optional, per-category opt-in (managed in Settings → Privacy) under which you may contribute de-identified cultivation data — photos, posts, observations, yields, and related records — for internal product improvement and the training of machine-learning models we control. “Models we control” means models where Magni Consulting LLC directs the training data, training process, and resulting model weights, regardless of whether compute or hosting infrastructure is provided by a third-party cloud or MLOps vendor acting on our behalf under a data-processing agreement. For the definition of “de-identified” as we use it, see § 2.3 of the Privacy Policy.

By enabling any consent category, you grant Magni Consulting LLC a non-exclusive, royalty-free, worldwide, sublicensable license to use the content in that category for: (a) internal analysis and product development; (b) building community aggregate insights; and (c) training, fine-tuning, and evaluating machine-learning models we control. Sublicensing is limited to third-party service providers that process content on our behalf under a written data-processing agreement (the current service-provider list is maintained in § 5 of the Privacy Policy). We do not sublicense contributed content to any party that would use it for its own purposes.

You retain ownership of your content. You warrant that you own or have the necessary rights to the content you contribute under this section, and that your contribution does not violate the rights of any third party. You are responsible for the accuracy and legality of content you contribute.

What this license does NOT grant. We will not sell contributed content, license it to data brokers, or share it with advertising networks. Raw identifiable content remains internal; aggregate statistics derived from contributed content (for example, average time-to-pin for a strain across all growers) may be published or shared, and collaborations with named expert reviewers (for example, a mycologist consulted on dataset labeling) are bound by written confidentiality agreements.

Third-party AI providers. As of the Last Updated date above, Magni Consulting LLC does not transmit user-contributed content to any third-party AI provider. If we integrate a third-party AI provider for a user-facing feature in the future, we will (a) select providers whose terms prohibit the use of submitted data for training their own models, and (b) update this Section and give affected users notice before activating the integration.

Human review. Content you contribute may be reviewed by Magni Consulting LLC personnel or contracted domain experts (for example, mycology reviewers) for label verification, quality control, and training-data curation. Reviewers are bound by confidentiality and are not permitted to redistribute content.

Revocation.You may revoke consent for any category at any time via Settings → Privacy. Revocation stops future use of your content for the revoked category, effective immediately: future training runs exclude your content, and your content is marked ineligible for inclusion in any new aggregate-statistics recomputation. However, because of how machine-learning models are trained, content that has already been incorporated into a trained model cannot be retroactively removed from that specific model.

7. Intellectual Property

The Service, including all content, features, and functionality, is owned by Magni Consulting LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Third-Party Content and Links

The Service may contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or content of such external sites. Links do not imply endorsement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAGNI CONSULTING LLC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information
• Any bugs, viruses, or similar issues transmitted through the Service
• Any errors or omissions in content
• Any actions taken based on information from the Service

10. Indemnification

You agree to indemnify, defend, and hold harmless Magni Consulting LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in the State of Ohio in accordance with the American Arbitration Association rules.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
